Terms of Service

By accessing or using the Nearlii mobile application or website (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use the Service.

These Terms apply to all users of the Service, including consumers browsing deals and business partners publishing offers.

Nearlii Technologie Inc. (“Nearlii,” “we,” “us,” or “our”) operates a local deals and promotions platform that connects nearby consumers with local businesses. Nearlii is currently available to users in Canada and the United States. Our motto is Growing Together, One Deal at a Time.

You must be at least 18 years of age to create an account or use the Service. By using the Service, you represent and warrant that you meet this requirement and that the information you provide is accurate and complete.

You may be required to create an account to access certain features. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Please notify us immediately at [email protected] if you suspect unauthorized use of your account.

You agree to use the Service only for lawful purposes. You must not:

• Post false, misleading, or fraudulent deals or content.
• Impersonate any person or entity.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to any portion of the Service.
• Use automated means (bots, scrapers) to access or collect data from the Service.
• Violate any applicable local, national, or international law or regulation.

Businesses publishing deals on Nearlii must ensure that all offers are accurate, legally compliant, and honored as described. Nearlii reserves the right to remove any deal that is misleading, expired, or violates these Terms. Repeated violations may result in suspension or termination of your business account.

Third-Party Materials & Promotional Content: If a deal includes promotional materials, flyers, or content owned by a third party (such as a supermarket chain, grocery brand, or other business), you must have explicit written permission from that third party before publishing such content on Nearlii. This includes use of logos, images, flyers, or promotional advertisements. Failure to obtain permission constitutes copyright infringement and a breach of these Terms. Nearlii will remove unauthorized third-party content upon notification.

All content, branding, logos, and software associated with Nearlii are the property of Nearlii Technologie Inc. and are protected by applicable intellectual property laws. You may not copy, reproduce, modify, or distribute any part of the Service without our prior written consent.

The Service is provided “as is” and “as available” without warranties of any kind, except where prohibited by applicable law. Nearlii does not guarantee the accuracy, completeness, or availability of any deals or offers listed on the platform. We are not responsible for any transactions between consumers and businesses conducted through or as a result of the Service, except to the extent required by the Consumer Protection Act of Quebec or other applicable consumer protection laws.

Consumer Protection Notice: To the extent you are a consumer as defined by Quebec's Consumer Protection Act, certain provisions in these Terms (including warranty disclaimers and liability limitations) may not apply to you if they are prohibited by law. If any clause is unenforceable against you as a consumer, the remaining clauses will continue to apply.

To the fullest extent permitted by law, Nearlii Technologie Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service, except to the extent such limitation is prohibited by the Consumer Protection Act or other consumer protection laws in your jurisdiction. Even if we have been advised of the possibility of such damages, these limitations apply only to the extent permitted by applicable law.

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

We may update these Terms from time to time. Under Quebec's Consumer Protection Act, we will provide you with at least thirty (30) days' written notice of any material changes by email or in-app notification, giving you the opportunity to review and accept or reject the new Terms. If you do not agree to the revised Terms, you have the right to terminate your account before the changes take effect. Continued use of the Service after the 30-day notice period constitutes your acceptance of the revised Terms. Non-material changes may be posted with notice, and your continued use constitutes acceptance.

If you submit reviews, ratings, comments, or other content (“User Content”) on the Nearlii platform, you grantNearlii Technologie Inc. a worldwide, non-exclusive, royalty-free license to use, display, and distribute your User Content in connection with the Service. Nearlii may format or translate your content for display, but will not alter its meaning. You represent and warrant that you own or have the right to grant these licenses and that your User Content does not infringe on any third-party intellectual property, privacy, or publicity rights.

You are responsible for the accuracy and lawfulness of any User Content you submit. Prohibited content includes:

• Defamatory, harassing, abusive, or threatening content
• Spam, false advertising, or content unrelated to the business
• Personal information of others without consent
• Content that infringes intellectual property rights

Nearlii reserves the right to remove prohibited User Content, suspend users who violate these guidelines, and cooperate with legal authorities if necessary. Users may report inappropriate reviews by contacting [email protected]. Reported content is reviewed and removed if it violates these guidelines.

Note: In-app reporting and user blocking features are planned for future releases to enhance community moderation.

Scope: These terms apply to businesses publishing deals and promotions on the Nearlii platform during our Founding Partner phase.

• Current Phase: During the Founding Partner program, deal publication is free. Fees, billing, and payment terms will be introduced in future releases and communicated separately in advance.
• Indemnification: Business partners agree to indemnify, defend, and hold harmless Nearlii from any claims, damages, or costs arising from the accuracy, legality, or performance of deals published by the business, including disputes with consumers.
• Content Rights: You grant Nearlii the right to display your deal information and promotional content (including images, descriptions, and pricing) on the Nearlii app and website during the time your deal is active.

These Terms are governed by and construed in accordance with the laws of Quebec, Canada, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Montreal, Quebec for the resolution of any disputes arising under or related to these Terms and the Service.

If you are a consumer as defined by Quebec law, you may pursue claims in the court of your domicile if consumer protection laws permit.
